Who We Are
Barry Hutton provides strategic counsel to company leadership during times of significant transformation or risk. His investment banking and investor relations career provides experience throughout the corporate life cycle including private equity funding, IPOs, rapid growth and M&A. His special situation / crisis experience includes shareholder activism, unsolicited takeovers, proxy contests, regulatory investigations, internal control weakness, financial restatements, bankruptcy-workouts and the strategic review process.
Prior to joining Abernathy MacGregor, Barry served as the Head of Investor Relations for two publicly traded technology companies. He also served as a senior member in nationwide strategic communications agencies. In each role, Barry partnered closely with the full management teams to drive communications with all key stakeholders (investors, customers, employees, media, regulators). During this time Barry executed numerous transaction assignments including Providian Financials’ $6.5B sale to Washington Mutual, Watson Pharmaceuticals’ $1.9B acquisition of Andrx Corporation, NightHawk Radiology’s IPO, UTStarcom’s divestiture of its Personal Communications business unit and ShoreTel’s $530M sale to Mitel. In addition, Barry has advised on a range of special situations including ShoreTel’s successful defense of an unsolicited takeover proposal, multiple activist shareholder campaigns, contested proxy votes, investigations into regulatory violations and internal control weaknesses.
Previously, Barry worked as an investment banker in New York and San Francisco providing advisory and transaction execution for private equity investments, IPOs, debt funding, structured finance, M&A and bankruptcy-workout situations. He also completed multiple international banking projects onsite in Asia, Europe and Latin America.
Barry’s nonprofit leadership includes serving on the board of directors of the American Red Cross – Bay Area Chapter and the board of directors of the Black Adoption, Placement and Research Center.
